SpaceX agrees to buy Cursor maker Anysphere in $60 billion all-stock merger

SpaceX signed a merger agreement under which its subsidiary X67 Inc. will merge into Anysphere, the maker of the Cursor AI coding tool, which becomes a wholly owned subsidiary. Cursor shareholders receive SpaceX Class A shares based on an implied equity value of $60.0 billion and the seven-day volume-weighted average price before closing, so the share count moves with the stock. The deal depends on regulatory approvals, and SpaceX expected it to close in the third quarter of 2026.

  • Implied Cursor equity value: $60.0 billion, paid in SpaceX Class A stock
  • Share count set by the 7-day VWAP before closing, so the final number of new shares is not fixed
  • Expected close: third quarter of 2026, subject to regulatory approvals
  • SpaceX had an exclusive option from April to buy Anysphere or pay a $10 billion fee; it exercised the option on June 16
